New Issue: GS Finance sells $936,000 autocalls on Motif Capital National Defense

Olympia, Wash., April 24 – GS Finance Corp. priced $936,000 of 0% autocallable notes due May 6, 2026 linked to the Motif Capital National Defense 7 ER index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Goldman Sachs Group, Inc.

After one year, the notes will be called at par plus an annual call premium of 7% if the index closes at or above its call level on any annual review date. The call level will be 102.1% of the initial level for the April 22, 2020 review date, stepping up by 210 basis points on each subsequent call review date up to 112.6% of the initial level on the April 22, 2025 final review date.

The payout at maturity will be par plus double any index gain. If the index falls, the payout will be par.
