GS Finance plans contingent coupon autocallables on Russell, S&P 500

New York, June 1 – GS Finance Corp. plans to price 6% to 7% autocallable contingent coupon notes due Jan. 3, 2020 linked to the Russell 2000 index and the S&P 500 index, according to a 424B2 filing with the Securities and Exchange Commission.

Each quarter, the notes will pay a contingent coupon of 6% to 7% if both indexes close at or above their coupon trigger levels, 70% of their initial levels, on the observation date for that quarter. The exact coupon level will be set at pricing.

Starting in December 2018 and ending in September 2019, the notes will be automatically called at par if both indexes clos at or above their initial levels on any quarterly observation date.

The payout at maturity will be par plus the final coupon unless either index closes below its trigger level, 70% of its initial level, on any day during the life of the notes, in which case investors will be exposed to the decline of the lesser performing index from its initial level.

The notes will be guaranteed by Goldman Sachs Group, Inc.

Goldman Sachs & Co. LLC is the underwriter.

The notes are expected to price on June 26 and settle on June 29.

The Cusip number is 40055QDG4.
