New Issue: GS Finance prices $11.02 million trigger phoenix autocallables linked to Russell, S&P

Tacoma, Wash., Feb. 29 – GS Finance Corp. priced $11.02 million of trigger phoenix autocallable optimization securities due Feb. 27, 2026 linked to the worse performing of the S&P 500 index and the Russell 2000 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Goldman Sachs Group, Inc.

The notes pay a contingent quarterly coupon at an annual rate of 8.85% if each index closes at or above its coupon barrier level, 70% of its initial level, on the observation date for that quarter.

Beginning in February 2017, the notes will be called at par of $10 if each index closes at or above its initial level on any quarterly observation date.

The payout at maturity will be par plus the final contingent coupon, if any, unless either index finishes below its trigger level, 50% of its initial level, in which case investors will be exposed to the decline of the lesser- performing index.
