New Issue: GS prices $2.72 million autocallable contingent coupon equity notes on three stocks

Chicago, Feb. 2 – GS Finance Corp. priced $2.72 million of autocallable contingent coupon equity-linked notes due Jan. 14, 2026 linked to the stocks of Microsoft Corp., Amazon.com, Inc. and Tesla, Inc., according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Goldman Sachs Group, Inc.

The notes will pay a contingent monthly coupon at an annual rate of 12% if each stock closes above its coupon barrier price, 50% of its initial price, on the corresponding observation date.

The notes will be automatically called at par plus the coupon if each stock closes at or above its initial share price on any quarterly call observation date after one year.

The payout at maturity will be par plus any coupon due if all three stocks finish above 50% of their initial levels. Otherwise, investors will be fully exposed to the losses of the worst performer.
