Abertis Infraestructuras takes over two loans, partly prepays debt

Olympia, Wash., April 9 – Abertis Infraestructuras, SA said it became the borrower under two facility agreements on Monday in replacement of its current majority shareholder, Abertis HoldCo SA.

The facilities include an €8,984,520,000 agreement entered into on Oct. 23, 2018 by Abertis HoldCo, under which €8,858,397,000 has been drawn, and a €970 million agreement entered into on Dec. 27, 2018 by Abertis HoldCo, according to a notice.

As a result of the debt transfer, Abertis Infraestructuras satisfied its payment obligation regarding Abertis HoldCo resulting from the extraordinary dividend approved at the ordinary general shareholders meeting of Abertis Infraestructuras on March 19.

Immediately following the debt transfer, the company prepaid €1,342,986,775.56 under the Oct. 23, 2018 agreement, which is an amount equal to the net proceeds obtained from the disposal of Cellnex Telecom SA.

Abertis also prepaid €3,067,180,565.29 under that agreement, which is an amount equal to the proceeds obtained from the bond launched by the company on March 18.

Total drawn debt from the acquisition financing after the prepayments has been reduced to €4,448,229,659, the company said.

The Madrid-based company provides toll road management services.
