Pfleiderer soliciting consents to amend 7 7/8% senior notes due 2019

Columbus, Ohio, Aug. 11 – Pfleiderer GmbH is soliciting consents for proposed waivers and amendments regarding its €321,684,000 of 7 7/8% senior secured notes due 2019, according to a London Stock Exchange notice.

Noteholders who wish to participate in the consent solicitation must register with the tabulation agent and confirm their investor status by the registration deadline of Sept. 8 at 5:59 p.m. ET.

Votes must be submitted by 5:59 p.m. ET on Sept. 14.

A voting fee of €5 per €1,000 principal of the notes will be payable to noteholders in connection with the consent solicitation.

The consent solicitation is being held in connection with the proposed acquisition of all the company’s shares by Pfleiderer Grajewo SA.

Pfleiderer is a Dusseldorf, Germany-based wood products supplier.
