Brazil's Gol Linhas withdraws registration for $100 million convertibles

Seattle, Dec. 4 - Gol Linhas Aereas Inteligentes SA applied to withdraw the registration for its $100 million issue of convertible senior notes due 2026 in an RW filing with the Securities and Exchange Commission on Monday.

The company said it requested the withdrawal because it no longer contemplates a public offering of the notes.

Gol Linhas originally filed for the offering on May 17, 2006. The notes were to be convertible into preferred shares or American Depositary Shares of the company, to be non-callable for the first five years and to have puts in years five, 10 and 15.

Morgan Stanley was to be the bookrunner for the deal and was to be granted a $15 million greenshoe.

The Sao Paulo, Brazil-based low-cost airline planned to use the proceeds to buy aircraft, equipment and materials.
