Goldman plans leveraged autocalls due 2028 on GS Momentum Builder

Chicago, Feb. 6 – GS Finance Corp. plans to price 0% autocallable notes due March 10, 2028 linked to the GS Momentum Builder Multi-Asset 5S ER index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Goldman Sachs Group, Inc.

The notes will be called at par plus an annual call premium of 10% if index closes at or above the call level on any annual call date.

The call level will be 103% of the initial level on the first call review date of Feb. 25, 2019, stepping up by 300 basis points on each subsequent call review date to a final level of 127% of the initial level on Feb. 25, 2027.

The payout at maturity will be par plus triple any index gain.

If the index falls, the payout will be par.

Goldman Sachs & Co. is the agent.

The notes will price on Feb. 23 and settle on Feb. 28.

The Cusip number is 40055AHK6.
