GS Finance to price three-year digital notes linked to S&P 500

Morgantown, W.Va., Jan. 19 – GS Finance Corp. plans to price 0% digital notes due Jan. 27, 2021 linked to the S&P 500 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Goldman Sachs Group, Inc.

If the index return is greater than or equal to 24%, the payout at maturity will be par plus 24%.

If the index return is less than 24% but greater than or equal to negative 20%, the payout will be the greater of the threshold settlement amount, par plus 3%, and par plus the index return.

Otherwise, investors will lose 1% for every 1% decline in the index beyond 20%.

Goldman, Sachs & Co. is the underwriter.

The notes will price on Jan. 22.

The Cusip number is 40055AFP7.
