GS Finance plans leveraged buffered notes linked to S&P 500

Columbus, Ohio, March 1 – GS Finance Corp. plans to price 0% leveraged buffered notes due March 29, 2021 linked to the S&P 500 index, according to a 424B2 filing with the Securities and Exchange Commission.

If the index return is positive, the payout at maturity will equal 1.05 times to 1.5 times the return. The exact participation rate will be set at pricing.

If the index falls by up to 20%, the payout will par. Investors will be exposed to losses beyond 20%.

The notes are guaranteed by Goldman Sachs Group, Inc.

Goldman Sachs & Co. is the agent.

The notes will price on March 24 and settle on March 30.

The Cusip number is 40054K4S2.
