New Issue: Goldman sells $61.17 million notes linked to MSCI EAFE

Chicago, Aug. 5 - Goldman Sachs Group, Inc. priced $61.17 million of 0% notes due Feb. 16, 2010 linked to the MSCI EAFE index, according to a 424B3 filing with the Securities and Exchange Commission.

Payout at maturity will be par plus double any gain in the index, capped at 120% of par.

Investors will receive par if the index falls by up to 15% and will lose 1.1765% for each 1% decline beyond 15%.

Goldman, Sachs & Co. is the underwriter.
