New Issue: Goldman Sachs prices $10 million 2.75% notes exchangeable for BMC Software

New York, Jan. 14 - The Goldman Sachs Group Inc. priced $10 million of 2.75% six-month notes mandatorily exchangeable for the common stock of BMC Software Inc., according to a filing with the Securities and Exchange Commission.

Terms of the deal are as follows:

Underlying stock:BMC Software Inc.,
Amount:$9.999 million
Maturity:July 14, 2004
Coupon:2.75%, payable quarterly
Price:Par of $20.5272
Exchange ratio:1, capped at $25.659 or 25% above initial price, in cash or stock at Goldman's option, at maturity
