New Issue: GS Finance sells $25.61 million buffer autocallable gears linked to S&P 500

Chicago, Aug. 10 – GS Finance Corp. priced $25.61 million of 0% buffer autocallable gears due July 31, 2028 linked to the S&P 500 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Goldman Sachs Group, Inc.

If the index finishes at or above its initial level on Aug. 2, 2024, the notes will be automatically called at par of $10 plus 8%.

If the notes are not called and the index finishes above its initial level, the payout at maturity will be par plus 1.5 times the index gain.

Investors will receive par if the index declines by 20% or less and lose 1% for every 1% that the index declines beyond 20%.

Goldman Sachs & Co. LLC is the agent. UBS Financial Services Inc. is the selling agent.
