VimpelCom acquires Golden Telecom

Charlotte, N.C., Feb. 29 - Vimpel Communications completed the merger of its indirect wholly owned subsidiary, Lillian Acquisition, Inc., with and into Golden Telecom, Inc.

Golden Telecom became the surviving corporation and an indirect wholly owned subsidiary of VimpelCom.

As a result, Golden Telecom common stock ceased trading on Nasdaq at the market close on Thursday, a company news release stated.

Remaining shares of Golden Telecom common stock were canceled and converted into the right to receive $105 in cash.

VimpleCom completed its subsequent offer period for all of the outstanding shares of common stock of Golden Telecom on Tuesday.

In December, the companies announced that VimpelCom would acquire Golden Telecom for $4.3 billion.

VimpelCom is a Moscow-based wireless telecommunications services company.

Golden Telecom, also based in Moscow, provides telecommunications and internet services in Russia and other countries of the Commonwealth of Independent States.
