New Issue: Global Payments prices $3 billion of senior notes in three tranches

Tupelo, Miss., Aug. 7 – Global Payments Inc. priced a $3 billion three-part offering of fixed-rate senior notes on Wednesday, according to an FWP filing with the Securities and Exchange Commission.

A $1 billion tranche of 2.65% notes due Feb. 15, 2025 priced at 99.975 to yield 2.655%, or a spread of 115 basis points over Treasuries.

The company sold $1.25 billion of 3.2% 10-year notes at 99.686 to yield 3.237%. The notes priced with a Treasuries plus 155 bps spread.

Global Payments placed $750 million of 4.15% 30-year notes at 99.744 to yield 4.165% and a Treasuries plus 195 bps spread.

The active bookrunners were BofA Securities, Inc. and J.P. Morgan Securities LLC.

Passive bookrunners were Capital One Securities, Inc., MUFG, PNC Capital Markets LLC, SunTrust Robinson Humphrey, Inc., TD Securities (USA) LLC and Wells Fargo Securities, LLC.

Proceeds will be used for the company’s planned merger with Total System Services, Inc.

The company held fixed income investor calls on Monday and Tuesday.

Global Payments is an Atlanta-based provider of payment technology services.
