Allscripts takes in $100 million through private placement of shares

7,434,944 shares sold at $13.45 with warrants for 1,486,989 shares

Knoxville, Tenn., June 30 – Allscripts Healthcare Solutions, Inc. completed a $100 million private placement of stock on June 26, according to an 8-K filed Tuesday with the Securities and Exchange Commission.

The company sold 7,434,944 common shares at $13.45 per share, which is a 4.88% discount to the June 25 closing share price of $14.14. The price per share is also the average closing price per share of the stock for the 60 trading days preceding and including June 24, the company noted in the filing.

The investors also received warrants for 1,486,989 shares, which are each exercisable at $17.675 for 18 months. The strike price reflects a 25% premium to the June 25 closing share price.

The company said it will use the proceeds to purchase series G units from NantHealth for about $200 million. This will give Allscripts a 10% equity stake in NantHealth and enables the company to hold a board observer seat on NantHealth’s board of directors.

Allscripts is a Chicago-based provider of software, connectivity and information services for physicians.
