Express Scripts to sell senior notes due 2023, 2037 and 2046

Charlotte, N.C., June 29 – Express Scripts Holding Co. plans to offer senior notes (Baa2//BBB) due 2023, 2037 and 2046, according to a 424B5 filed with the Securities and Exchange Commission.

Citigroup Global Markets Inc., BofA Merrill Lynch and Credit Suisse Securities (USA) LLC are the joint bookrunners.

A portion of the proceeds will be used to repay about $1.5 billion of the company’s 2017 term loan and to fund tender offers. Proceeds will also be used for general corporate purposes, which may include the repayment of other debt, working capital and repurchases of common stock.

Express Scripts is a St. Louis-based pharmacy benefit management provider.
