Evolucia takes in $2 million through private placement of 14% notes

Three-year callable promissory notes sold with five-year warrants

Knoxville, Tenn., April 26 - Evolucia Inc. settled a $2 million private placement of secured callable promissory notes on April 22, according to an 8-K filed Friday with the Securities and Exchange Commission.

The 14% notes may be prepaid and are due in three years.

The investors also received warrants for 95,821,680 shares. Each warrant is exercisable at $0.025 for five years.

The strike price is a 25% premium to the April 19 closing share price of $0.02.

The Sarasota, Fla., company makes and sells LED lighting fixtures.
