New Issue: GS Finance prices $3.06 million trigger phoenix autocallables tied to three indexes

Morgantown, W.Va., March 29 – GS Finance Corp. priced $3.06 million of 0% trigger phoenix autocallable optimization securities due March 29, 2021 linked to the worst performing of the S&P 500 index, the Euro Stoxx 50 index and the Russell 2000 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Goldman Sachs Group, Inc.

The notes will pay a contingent quarterly coupon at an annualized rate of 12.1% if each index closes at or above the coupon barrier level – 75% of the initial level – on the observation date for that quarter.

The notes will be called at par plus the contingent coupon if each index closes at or above its initial level on any quarterly observation date after six months.

The payout at maturity will be par plus the contingent coupon unless any index closes below the 75% barrier level, in which case investors will be fully exposed to any losses of the worst performing index.
