Seattle, April 10 - Energy Transfer Partner LP registered to sell up to $1.5 billion of securities in a S-3 filing with the Securities and Exchange Commission.

Covered by the shelf are common units representing limited partner interests and debt securities that will be guaranteed by the partnership's subsidiaries and may be structured as convertibles.

Proceeds will be used to pay outstanding debt and to acquire assets.

Energy Transfer Partners is a Dallas-based master limited partnership that owns a portfolio of oil and natural gas assets.
