New Issue: Citigroup prices $1.11 million 7.05% contingent coupon autocalls tied to funds

Chicago, Jan. 31 – Citigroup Global Markets Holdings Inc. priced $1.11 million of autocallable contingent coupon equity-linked securities due Jan. 27, 2022 linked to the least performing of the SPDR S&P Oil & Gas Exploration & Production exchange-traded fund and the Energy Select Sector SPDR fund, according to a 424B2 filing with the Securities and Exchange Commission.

The notes will pay a contingent quarterly coupon at an annual rate of 7.05% if each underlying component closes at or above its 70% coupon barrier on the valuation date for that quarter.

The notes will be called at par plus the contingent coupon if each fund closes at or above its initial level on any valuation date after one year.

The payout at maturity will be par unless either fund finishes below its 70% barrier level, in which case investors will be fully exposed any losses of the worse performing fund.

The notes will be guaranteed by Citigroup Inc.

Citigroup Global Markets Inc. is the underwriter.
