JPMorgan plans trigger gears linked to Energy Select Sector fund

Morgantown, W.Va., Jan. 26 – JPMorgan Chase Financial Co. LLC plans to price 0% trigger gears due Jan. 31, 2022 linked to the Energy Select Sector SPDR fund, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by JPMorgan Chase & Co.

The payout at maturity will be par of $10 plus 1.28 to 1.3 times any fund gain, with the exact upside gearing to be set at pricing.

Investors will receive par if the fund falls by up to 25% and will be fully exposed to any losses if the fund finishes below its 75% downside threshold level.

J.P. Morgan Securities LLC and UBS Financial Services Inc. are the agents.

The notes will price on Jan. 27.

The Cusip number is 48128P159.
