By Devika Patel

Knoxville, Tenn., Sept. 17 – Emerson Electric Co. intends to sell fixed-rate notes, according to a 424B5 filing with the Securities and Exchange Commission.

The notes will have a make-whole call and then a par call.

Citigroup Global Markets Inc. and J.P. Morgan Securities LLC are the bookrunners.

Proceeds will be used to repay commercial paper, for general corporate purposes and to pay a portion of the purchase price for the company’s planned acquisition of Open Systems International, Inc.

Emerson is a St. Louis-based technology and engineering company.
