Colombia’s Ecopetrol plans offering of notes to fund tender offer

Chicago, Jan. 9 – Ecopetrol SA is planning to sell new notes (BB+/BB+) to fund a tender offer of up to $1.2 billion of notes, according to a press release and a 424B3 filing with the Securities and Exchange Commission.

The notes will have make-whole call protection and then a par call option a number of months before the maturity date.

BBVA Securities Inc., BofA Securities, Inc. and Citigroup Global Markets, Inc. are dealer managers for the tender offer.

Bank of New York Mellon will be the trustee.

Shearman & Sterling LLP and Brigard & Urrutia Abogados SAS will handle legal matters for the company. Milbank LLP and Gomez-Pinzon Abogados SAS will advise on legal matters for the bookrunners.

Ecopetrol is a Bogota-based petroleum company in Colombia with international drilling and exploration operations in the United States, Brazil and Mexico.
