New Issue: Morgan Stanley prices $3.8 million callable contingent income securities on indexes

Buffalo, N.Y., June 25 – Morgan Stanley Finance LLC sold $3.8 million of callable contingent income securities due May 15, 2025 tied to the worst performing of the Dow Jones industrial average, the S&P 500 index and the Russell 2000 index, according to a 424B2 filing with the Securities and Exchange Commission.

Quarterly, the notes will pay a contingent coupon at the rate of 6.6% per year if each index closes at or above its coupon threshold level, 65% of its initial level, on the related determination date.

The notes will be callable at par on any quarterly observation date after six months.

The payout at maturity will be par plus the coupon if each index finishes at or above the coupon threshold.

If all indexes finishes at or above the 65% downside threshold, the payout will be par.

Otherwise, investors will be exposed to the decline of the worst performer from initial levels.

The notes are guaranteed by Morgan Stanley.
