New Issue: Citi sells $1.1 million contingent coupon autocalls on S&P, Russell, Dow

Columbus, Ohio, Aug. 17 – Citigroup Global Markets Holdings Inc. priced $1.1 million of autocallable contingent coupon equity-linked securities due Aug. 3, 2023 linked to the least performing of the S&P 500 index, the Russell 2000 index and the Dow Jones industrial average, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Citigroup, Inc.

The notes will pay a contingent monthly coupon at an annual rate of 9% if each index closes at or above its 80% coupon barrier value on the observation date for that month, in which case a coupon will also be paid for any previously unpaid quarter.

The notes will be called at par if each index closes at or above its initial level on any quarterly call review date after six months.

The payout at maturity will be par unless any index finishes below its 60% final barrier value, in which case investors will be fully exposed to the decline of the worst performing index.
