Agrium, UAP Holding merger slowed by second refiling

Charlotte, N.C., Feb. 11 - Agrium Inc. once again plans to refile its notification and report form with the Federal Trade Commission in connection with its proposed acquisition of UAP Holding Corp.

The refiling would give the FTC more time to review the proposed acquisition under the Hart-Scott-Rodino Antitrust Improvements Act, the company said in a news release.

Agrium originally filed the notification and report form on Dec. 10, refiled it on Dec. 28 and voluntarily withdrew it on Jan. 11.

The current refiling provides Agrium with a full 15-day period to give the FTC information and to answer additional questions.

The new Hart-Scott-Rodino waiting period ends at midnight ET on Feb. 26, unless terminated or extended.

It was previously reported that Agrium agreed to acquire UAP Holding for $2.65 billion, including debt.

UAP Holding, located in Greeley, Colo., is the holding company of UAP Inc., an independent distributor of agricultural and non-crop products in the United States and Canada.

Agrium is a retail supplier of agricultural products and services in North America and South America and a producer of agricultural nutrients and industrial products. The company is based in Calgary, Alta.
