Agilent Technologies to price senior notes offering

New York, March 3 – Agilent Technologies, Inc. is offering senior notes (expected ratings: Baa2/BBB+), according to a press release and 424B5 filing with the Securities and Exchange Commission.

The notes are callable at par plus a make-whole premium and accrued interest prior to their par call date ahead of maturity. They are putable upon at change of control at 101 plus accrued and unpaid interest.

The proceeds of the offering will be used to fund the redemption of the company’s 3.2% senior notes due 2022, to pay down borrowings under its commercial paper program and for general corporate purposes.

Barclays, Citigroup Global Markets Inc. and J.P. Morgan Securities LLC are acting as joint bookrunning managers of the deal.

The bio-analytic and electronic measurement technology company is based in Santa Clara, Calif.
