Truven calls 10 5/8% notes for redemption as part of IBM acquisition

New York, Feb. 18 – Truven Health Analytics, Inc. issued a call to redeem its $367.2 million of 10 5/8% senior notes due 2020 as part of the acquisition of the company by International Business Machines Corp.

The notes will be redeemed on the closing date of the acquisition, according to an 8-K filing with the Securities and Exchange Commission.

Closing is expected this year, according to a news release. Under the terms of the acquisition, either party may terminate the acquisition agreement if it is not completed by May 17, according to the 8-K.

Truven is currently owned by private equity company Veritas Capital.

IBM’s Watson Health division agreed to buy Truven on Wednesday and the transaction was announced on Thursday.

Truven is an Ann Arbor, Mich. provider of analytics and data for health care.
