Morgan Stanley plans one-year PLUS with 10.75%-12.75% cap on S&P 500

Chicago, April 3 - Morgan Stanley plans to price 0% Performance Leveraged Upside Securities due May 2014 linked to the S&P 500 index, according to an FWP filing with the Securities and Exchange Commission.
The payout at maturity will be par of $10.00 plus triple any index gain, up to a maximum payout of $11.075 to $11.275 per note. The exact cap will be set at pricing.
Investors will be exposed to any losses.
Morgan Stanley & Co. LLC is the agent.
The notes will price in April and settle three days later in May.
The Cusip number is 61761M854.
