Morgan Stanley plans lookback entry PLUS due 2019 linked to S&P 500

Morgantown, W.Va., Dec. 12 – Morgan Stanley Finance LLC plans to price 0% lookback entry Performance Leveraged Upside Securities due June 19, 2019 linked to the S&P 500 index, according to an FWP filing with the Securities and Exchange Commission.

The notes are guaranteed by Morgan Stanley.

The initial index level will be the lowest closing level of the index during the roughly one-month period from pricing up to and including Jan. 23 and will not be higher than the index’s closing level on the pricing date.

The payout at maturity will be par plus 200% of any index gain, up to a maximum return of 25%.

Investors will be fully exposed to any losses.

Morgan Stanley & Co. LLC is the agent.

The notes will price on Dec. 14.

The Cusip number is 61766F631.
