Morgan Stanley plans 90% protected notes linked to DJ-UBS commodity

Chicago, June 7 - Morgan Stanley plans to price 0% equity-linked partial principal at risk securities due June 2020 linked to the Dow Jones - UBS Commodity index, according to a 424B2 filing with the Securities and Exchange Commission.

The payout at maturity will be par plus 115% to 130% of any index gain, with the exact participation rate to be set at pricing.

If the index falls, investors will receive par plus the index return, with a minimum payout of 90% of par.

Morgan Stanley & Co. LLC is the agent, with Morgan Stanley Smith Barney LLC as dealer.

The notes will price in June and settle in July.

The Cusip number is 6174824Z4.
