New Issue: Morgan Stanley prices $2.5 million PLUS notes linked to the U.S. Model Portfolio

Tacoma, Wash., Nov. 26 - Morgan Stanley priced $2.5 million of 0% Performance Leveraged Upside Securities (PLUS) due Feb. 20, 2009 linked to the common stocks included in the U.S. Model Portfolio as of Nov. 19, according to an FWP filing with the Securities and Exchange Commission.

The U.S. Model Portfolio is a hypothetical portfolio of stocks selected by the analysts in Morgan Stanley's global wealth management strategy team. It generally includes 35 to 50 companies and currently has 44 components.

The stocks include Amylin Pharmaceuticals Inc. with a 1.05% weight; Abbot Laboratories, AFLAC Inc., Alcoa, Inc., American International Group, American Tower Corp., AT&T Inc., Automatic Data Processing, Inc., Bank of New York Mellon Corp., Becton Dickinson & Co., Cadence Design Systems Inc., Citigroup Inc., Coca-Cola Co., ConocoPhillips, CVS Caremark Corp., DST Systems, Inc., Exxon Mobil Corp., FedEx Corp., General Dynamics Corp., Gilead Sciences Inc., Hewlett-Packard Co., Honeywell International Inc., J.C. Penney Co. Inc., JPMorgan Chase & Co., Merck & Co. Inc., Norfolk Southern Corp., Peabody Energy Corp., PNC Financial Services Group Inc., PowerShares QQQ Trust Series 1, Procter & Gamble Co., Public Service Enterprise Group Inc., St. Jude Medical Inc., Suncor Energy Inc., Target Corp., Valero Energy Corp., Weatherford International Ltd., each with a 2.05% weight; Altria Group, Inc., Baxter International Inc., Cisco Systems, Inc., Microsoft Corp., Hartford Financial Services Group Inc., PepsiCo, Inc., United Technologies Corp., each with a 3.05% weight; and General Electric Co. and Prudential Financial Inc., each with a 4.05% weight.

The payout at maturity will be par of $10 plus double any gain on the portfolio, subject to a maximum return of 16%. Investors will participate fully in any portfolio decline.
