Marsh & McLennan offers fixed-rate senior notes in two tranches

Lexington, Ky., Feb. 14 – Marsh & McLennan Cos., Inc. is preparing a two-part offering of fixed-rate senior notes, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are callable with a make-whole premium until a number of months before the maturity date when they will be callable at par.

J.P. Morgan Securities LLC, Wells Fargo Securities, LLC, Goldman Sachs & Co. LLC and RBC Capital Markets, LLC are listed as bookrunners for one tranche of the notes. JPMorgan, Wells Fargo, Morgan Stanley & Co. LLC and TD Securities (USA) LLC will be bookrunners for the second tranche.

Bank of New York Mellon will serve as the trustee.

The company will use in-house counsel and Davis Polk & Wardwell LLP. Counsel for the underwriters is Skadden, Arps, Slate, Meagher & Flom LLP.

Proceeds will be used for general corporate purposes.
