Global Healthcare completes $6.13 million private placement of stock

Company sold 8,172,303 common shares at $0.75 per share in offering

Knoxville, Tenn., March 10 - Global Healthcare REIT, Inc. raised $580,559 in the third and final tranche of a $6.13 million private placement of stock on Feb. 20, according to an 8-K filed Monday with the Securities and Exchange Commission. The deal priced for between $1.69 million and $5.63 million with a $1.13 million greenshoe on Dec. 4 and raised $3.14 million on Dec. 31 and $2.41 million on Jan. 31.

The company sold 8,172,303 common shares at $0.75 per share. The price per share is a 28.57% discount to the $1.05 closing price on Dec. 3. Of the shares, 672,303 were part of the partially exercised greenshoe.

Global Healthcare sold 4,190,562 shares in the first tranche, 3,207,662 shares in the second and 774,079 shares in the third tranche.

Proceeds were used for the acquisition of a nursing facility.

The real estate investment trust is based in Atlanta.
