BlackRock plans to price notes offering via four bookrunners

Los Angeles, May 17 – BlackRock, Inc. plans to price an offering of fixed-rate notes, according to a 424B5 filing with the Securities and Exchange Commission.

The notes will feature an optional make-whole call, followed by an optional par call.

J.P. Morgan Securities LLC, BofA Securities, Inc., HSBC Securities (USA) Inc. and Barclays are the joint bookrunners.

Bank of New York Mellon is the trustee.

Skadden, Arps, Slate, Meagher & Flom LLP will act as counsel for the issuer. Cleary Gottlieb Steen & Hamilton LLP will be counsel for the underwriters.

Proceeds will be used for general corporate purposes, which may include the repayment of all or a portion of the company’s outstanding 3.5% notes due 2024, $1 billion principal amount of which is currently outstanding.

The investment management firm is based in New York.
