Edgemere Dallas seeks extension of exclusive solicitation period

Olympia, Wash., Aug. 12 – Northwest Senior Housing Corp., which does business as Edgemere Dallas, is seeking a 180-day extension of its exclusive period to solicit votes on a Chapter 11 plan through Feb. 8, according to a motion filed with the U.S. Bankruptcy Court for the Northern District of Texas.

As previously reported, the company has already filed a Chapter 11 plan. The disclosure statement hearing is scheduled for Sept. 29.

Edgemere said it has had two main goals in its cases, including obtaining legal relief against landlord Intercity Investment Properties, Inc., and restructuring its existing bond debt.

Edgemere has asserted claims in a lawsuit against the landlord that significantly impact the Chapter 11 cases, as the resolution of the claims is a key component of the restructuring agreement upon which the plan is premised, the company said.

“Because disputes between the debtors and the landlord are inextricably tied to the plan, resolution of such disputes will also limit, if not eliminate, contested confirmation issues relating to the plan,” Edgemere said in the motion.

The adversary proceeding is set for trial in December. The company said it believes the proceeding can and should be decided before the debtors proceed to confirmation of the plan.

The Dallas-based luxury senior living community filed Chapter 11 bankruptcy on April 14 under case number 22-30659.
