Aris Gold calls meeting for 7.5% senior secured gold-linked notes

Chicago, Jan. 18 – Aris Gold Corp. has called a noteholder meeting for its 7.5% senior secured gold-linked notes due 2027 to consider a proposed amendment to the trust indenture governing the notes, according to a notice.

The virtual meeting will be held at 7 a.m. ET on Feb. 8.

The record date for noteholders is 2 p.m. ET on Jan. 12.

The amendment would provide certain unsecured parent guarantees of future debt incurred by subsidiaries to advance and support the company’s strategy to grow into a larger, diversified gold producer.

Noteholders who provide an affirmative vote in favor of the proposed indenture amendment are eligible to receive $2.50 per $1,000 principal amount of notes.

A notice and management information circular has been sent to noteholders and filed on Sedar.

The company has retained Laurel Hill Advisory Group as proxy solicitation agent in connection with the meeting (877 452-7184, 416 304-0211, assistance@laurelhill.com).
