New Issue: Energy Transfer details $4.5 billion sale of notes in three tranches

Knoxville, Tenn., Jan. 8 – Energy Transfer Operating, LP priced $4.5 billion of guaranteed senior notes (Baa3/BBB-/BBB-) in three tranches on Tuesday, according to new details of the issuance in an FWP filed with the Securities and Exchange Commission.

A $1 billion tranche of 2.9% notes due May 15, 2025 priced at a spread of Treasuries plus 130 basis points. These notes priced at 99.924 to yield 2.916%.

Energy Transfer sold $1.5 billion of 3.75% notes due May 15, 2030 at a 195 bps over Treasuries spread. These notes priced at 99.843 to yield 3.769%.

In the final tranche, $2 billion of 5% notes due May 15, 2050 priced at a spread of 270 bps over Treasuries. These notes priced at 99.914 to yield 5.006%.

BNP Paribas Securities Corp., Goldman Sachs & Co. LLC, J.P. Morgan Securities LLC and Morgan Stanley & Co. LLC were the bookrunners.

The notes are guaranteed by Sunoco Logistics Partners Operations LP.

Energy Transfer is a natural gas midstream and intrastate transportation and storage company based in Dallas.
