Aldabra 2 arranges Feb. 5 stockholders meeting to vote on Boise Cascade acquisition

Knoxville, Tenn., Jan. 18 - Aldabra 2 Acquisition Corp. said it has set up a special stockholders meeting on Feb. 5 to vote on the company's planned acquisition of Boise Cascade LLC.

The meeting will be held at 10 a.m. ET at the offices of Kramer Levin Naftalis & Frankel LLP, 1177 Avenue of the Americas, in New York.

Stockholders on record at the close of business Jan. 16 will be entitled to vote at the meeting.

At the special meeting, stockholders will be asked to consider and vote on six proposals, including the approval of Aldabra's acquisition of Boise Cascade's paper and packaging manufacturing business and the approval of an amendment to Aldabra's certificate of incorporation to change the name of Aldabra from Aldabra 2 Acquisition Corp. to Boise Inc.

In September, Aldabra agreed to acquire Boise Cascade's Boise White Paper, LLC, Boise Packaging & Newsprint, LLC and Boise Cascade Transportation Holdings Corp. in a cash and stock deal valued at $1.625 billion.

Boise Cascade, a Madison Dearborn Partners, LLC portfolio company, will retain 100% ownership of its wood products and building materials distribution businesses.

Boise Cascade manufactures and sells corrugated containers, paper, pulp and newsprint. The company is based in Boise, Idaho.

Aldabra is a special-purpose acquisition corporation based in New York.
