Washington Group, URS postpone meeting dates for merger vote

Charlotte, N.C., Oct. 30 - Washington Group International Inc. postponed its special meeting of stockholders until Nov. 9 in order to solicit additional votes in favor of the company's acquisition by URS Corp. The record date for the meeting is Sept. 21, according to a company news release.

The meeting had been set for Oct. 30, the same date URS planned to hold its special meeting. As a result, URS also postponed its special meeting, also until Nov. 9. URS shareholders will vote on the issuance of shares in connection with the acquisition.

Washington Group's board recommends its shareholders vote for the May 29 proposal, which is worth an estimated $2.6 billion.

It was previously reported that Washington Group stockholders will receive $43.80 in cash and 0.772 of a share of URS common stock for each Washington Group share.

Washington Group is a Boise, Idaho, engineering company. URS is an engineering design services company located in San Francisco.
