Delta, Northwest shareholders to vote Sept. 25 on proposed merger

By Lisa Kerner

Charlotte, N.C., July 11 - Delta Air Lines Inc. will hold a special meeting of stockholders at 2 p.m. ET on Sept. 25 to vote on the issuance of Delta common stock to Northwest Airlines Corp. stockholders in the proposed merger of the two airlines.

Record date for the meeting is July 29.

Stockholders will also be asked to vote on an amendment to the Delta 2007 Performance Compensation Plan, a Delta news release stated.

Northwest Airlines shareholders will also vote on the proposed merger at the company's annual meeting on Sept. 25 in New York at a time yet to be determined, it was announced on Friday.

In April, Atlanta-based Delta and Northwest, located in Eagan, Minn., announced plans to merge in an all-stock transaction with a combined enterprise value of $17.7 billion.

Combined, Delta and Northwest will have more than $35 billion in total annual revenues, operate a mainline fleet of nearly 800 aircraft and employ about 75,000 people worldwide, the companies noted.
