Allscripts Healthcare acquires Misys Healthcare

Charlotte, N.C., Oct. 13 - Allscripts Healthcare Solutions, Inc. acquired Misys Healthcare Systems, LLC to form Allscripts-Misys Healthcare Solutions Inc., it was announced on Monday.

The combined company is among the largest providers of electronic health record and practice management solutions in the United States, with a client base of nearly one-third of the nation's practicing physicians, an Allscripts-Misys news release said.

Allscripts-Misys chief executive officer Glen Tullman said the company wants to "eliminate the paper, the waste, the errors and the patient inconvenience associated with today's health care delivery system."

It was previously reported that Misys plc, a London-based applications software and services company, agreed to pay $330 million in cash to Allscripts in exchange for 54.5% ownership of the combined company.

Allscripts, a clinical software company based in Chicago, said it will pay a special cash dividend totaling $330 million to its stockholders on Oct. 17.

It was previously reported that following the merger's close, Allscripts stockholders will retain their shares, and Allscripts shares will continue to trade on the Nasdaq under the symbol "MDRX."
