Invitrogen, Applied Biosystems to combine as Life Technologies

Charlotte, N.C., Nov. 4 - Invitrogen Corp. said integration progress is being made in its pending merger with Applied Biosystems Inc.

Three members of the Applied Biosystems board of directors have been named to the board of the new company, to be called Life Technologies Corp.

The new members effective at the merger's close are:

• George F. Adam Jr., chairman of Recondo Technology, Inc.;

• Arnold J. Levine, Ph.D., professor at the Institute for Advanced Study; and

• William H. Longfield, retired chairman and chief executive officer of C.R. Bard, Inc.

The new members will join nine current members of Invitrogen's board, according to an Invitrogen news release.

Life Technologies will trade on the Nasdaq under the ticker symbol "LIFE."

Invitrogen said that instruments and systems solutions will continue to be sold under the Applied Biosystems brand name while the combined company's reagents will be sold under the Invitrogen brand name.

As previously reported, Applied Biosystems and Invitrogen stockholders have approved the proposed merger.

The European Commission has yet to approve the transaction.

In June, Invitrogen agreed to acquire Applied Biosystems for $38 per share in a cash-and-stock transaction valued at $6.7 billion.

Invitrogen is a Carlsbad, Calif.-based provider of life science technologies for disease research, drug discovery and commercial bioproduction.

Applied Biosystems is a developer and marketer of instrument-based systems, consumables, software and services. The company is located in Norwalk, Conn.
