Laidlaw, FirstGroup merger closer to completion after agreement with states reached

Charlotte, N.C., Sept. 26 - Laidlaw International, Inc. and FirstGroup plc reached an agreement with the attorneys general of 11 U.S. states interested in the proposed acquisition of Laidlaw by FirstGroup.

The companies expect the U.S. Department of Justice to grant early termination of the Hart-Scott-Rodino within the week, with the merger slated to close on Oct. 1, according to a statement released on Wednesday.

In February 2007, Laidlaw agreed to be acquired by FirstGroup for $35.25 per share, or about $3.6 billion.

Laidlaw is a Naperville, Ill., holding company for North America's largest providers of school and inter-city bus transport services and a supplier of public transit services.

FirstGroup is a passenger transport group based in Aberdeen, Scotland.
