DME Airport announces success of consent bid related to 5.35% notes

Columbus, Ohio, Dec. 5 – DME Airport DAC announced the results of the consent solicitation pertaining to its $453 million of 5.35% loan participation notes due 2028 (ISINs: XS2278534099, US23291QAA04), according to an announcement.

The solicitation, which was announced on Nov. 10, was put to a vote and passed by noteholders at a meeting held on Dec. 4, and an extraordinary resolution containing the amendments sought became effective, DME reported.

The amendments were geared toward facilitating a solvent corporate reorganization that the group is considering, which would relocate its holding center to Cyprus from Russia.

To establish a quorum, one or more persons holding at least a clear majority of the principal amount of the notes had to be represented at the meeting. For the extraordinary resolution to pass, at least 75% of the principal amount of the outstanding notes represented at the meeting had to vote in favor of the changes.

No consent fee was payable in connection with the solicitation.
