Singapore’s Mercatus launches consent solicitation for four notes

Los Angeles, Jan. 4 – Mercatus Co-Operative Ltd. has begun a consent solicitation in connection with four series of notes, according to a notice.

The consent solicitation relates to the following series issued under the company’s S$1 billion multicurrency medium-term note program:

• S$200 million 2.8% series 001 notes due 2024 (ISIN: SG7EE8000009);

• S$150 million 3.1% series 002 notes due 2028 (ISIN: SG7LG2000005);

• S$100 million 3.28% series 003 notes due 2025 (ISIN: SGXF53081513); and

• S$100 million 3.08% series 004 notes due 2030 (ISIN: SGXF54540186).

The issuer is asking noteholders to approve by way of extraordinary resolutions, among other things, some waivers of events of default that may occur as a result of a sale transaction.

Holders must submit voting instructions by 9 p.m. ET on Jan. 24 for the series 001 notes, 9:15 a.m. ET on Jan. 24 for the series 002 notes, 10:30 a.m. ET on Jan. 24 for the series 003 notes and 10:45 a.m. ET on Jan. 24 for the series 004 notes.

The deadline for an early consent fee is 4 a.m. ET on Jan. 17.

DBS Bank Ltd. is the solicitation agent.

Tricor Singapore Pte. Ltd. is the meeting agent.

Noteholders may collect copies of the consent solicitation statement, proxy form and related documents from the meeting agent up until Jan. 25.
