SMC Global Power tenders for up to $400 million notes from five series

Chicago, Oct. 26 – SMC Global Power Holdings Corp. started a tender offer for $400 million principal amount from five securities, according to a notice.

The company is offering to buy from the following:

• $800 million outstanding 6½% senior perpetual capital securities issued on April 25, 2019 with a first optional redemption date on April 25, 2024 (ISIN: XS1896598908) for $680 per security;

• $500 million outstanding senior perpetual capital securities issued on Nov. 5, 2019 with a first optional redemption date on May 5, 2025 (ISIN: XS2072777381) for $600 per security;

• $750 million outstanding 7% senior perpetual capital securities issued Oct. 21, 2020 with a first optional redemption date on Oct. 21, 2025 (ISIN: XS2239056174) for $670 per security;

• $600 million outstanding 5.7% senior perpetual capital securities issued Jan. 21, 2020 with a first optional redemption date on Jan. 21, 2026 (ISIN: XS2098881654) for $650 per security; and

• $750 million outstanding 5.45% senior perpetual capital securities issued on June 9, 2021 with a first optional redemption date of Dec. 9, 2026 (ISIN: XS2346954873) for $635 per security.

All of the securities are par of $1,000.

The consideration will additionally include accrued distribution to the payment date.

The offer, started on Wednesday, will expire at 11 a.m. ET on Nov. 4.

The payment date is expected on Nov. 9.

Tenders may be prorated.
