Former Suez gains consents from noteholders ahead of Veolia merger

Lexington, Ky., Oct. 7 – Veolia Environnement SA announced that Vigie SA (formerly known as Suez SA) noteholders consented to the company’s merger into Veolia Environnement and, for certain series of the notes only, to some amendments to their terms and conditions in meetings held Sept. 15 and Oct. 6, according to a press release.

As previously reported, the invitation was being extended to holders of the following series:

• €500 million 2.75% notes due Oct. 9, 2023 (ISIN: FR0011585215);

• €500 million 5.5% notes due July 22, 2024 (ISIN: FR0010780528);

• €500 million 1% notes due April 3, 2025 (ISIN: FR0013248507);

• €500 million 1.75% notes due Sept. 10, 2025 (ISIN: FR0012949923);

• €250 million fixed-to-fixed rate notes due 2017 extended 2027 (ISIN: FR0010765859);

• €800 million 1.25% notes due May 19, 2028 (ISIN: FR0013173432);

• €700 million 1.5% notes due April 3, 2029 (ISIN: FR0013248523);

• €75 million fixed-rate notes due 2029 (ISIN: FR0011912575);

• €50 million 2.25% notes due July 1, 2030 (ISIN: FR0012829406);

• £250 million 5.375% notes due 2030 (ISIN: FR0011158849);

• €540 million 1.625% notes due Sept. 21, 2032 (ISIN: FR0013283140);

• €100 million 3.3% notes due March 25, 2033 (ISIN: FR0011454818);

• €600 million undated deeply subordinated fixed-rate resettable notes (ISIN: FR0013252061); and

• €500 million undated deeply subordinated fixed-rate resettable notes (ISIN: FR0013445335).

Completion of the merger is now scheduled for Oct. 31.

The acquisition was initiated in 2021 and concluded with the successful tender offer on Suez shares in January 2022.

The water treatment and waste management company is based in Paris.
