Colombia’s Banco de Bogota tenders for up to $300 million 4 3/8% notes

Columbus, Ohio, March 22 – Banco de Bogota SA began a cash tender offer to purchase up to $300 million of the outstanding $600 million principal amount of its 4 3/8% senior notes due 2027 (Cusips: 059514AE9/P09252AM2), according to a company announcement.

The company is offering a total consideration per $1,000 principal amount of $960, which includes a $30 early tender premium that will be paid only to holders who tender by the early deadline, 5 p.m. ET on April 4.

The early deadline is also the deadline to withdraw tenders.

Holders will also receive accrued interest and additional amounts such that the purchase price and accrued interest received after withholding tax will be equal to the amount that would have been due had there been no withholding tax.

The offer will expire at 11:59 p.m. ET on April 19.

If the $300 million maximum amount is exceeded, tenders will be subject to proration.
